("Alter5"), Spanish tax identification number (CIF) B-88357769, with its registered office at Calle Manuel Pombo Angulo, 10, Floor 1, Office 2, 28050 Madrid, Spain, is a Spanish company incorporated for an indefinite term under the laws of Spain and registered with the Madrid Commercial Registry at Volume 24,985, Folio 192, Section 8, Sheet M-449888. Alter5 owns the domain name www.alter5.com and operates the website hosted on it (the "Website"). Alter5 may be contacted at [email protected].

By accessing and browsing this Website, the User acknowledges having read and understood this Legal Notice and the Terms of Use, together with the Privacy Policy (www.alter5.com/en/privacy) and the Cookies Policy (www.alter5.com/en/cookies), and expressly accepts them as a condition of accessing and using the Website.

Browsing the Website does not require the User to register or to provide Alter5 with any personal data.

Personal data is requested only through the Website's forms: contact, investor information and access requests, newsletter subscription, Sector Monitor sign-up, debt capacity analysis request, European Investment Fund guarantee eligibility enquiry and product guidance (Request financing). Each form requires the User to accept the Privacy Policy beforehand. The User is responsible for the accuracy and currency of the data provided and must not include personal data of third parties beyond what the request requires.

Access to the Alter5 platform (app.alter-5.com) is not open to the public and does not allow registration at the User's initiative: Alter5 creates accounts for the companies, lenders and investors with which it has a relationship and sends the user an activation email through which the user sets a password.

A User with an active account is solely responsible for the safekeeping and confidentiality of their password and other credentials, and undertakes not to transfer them to third parties, whether temporarily or permanently. The User is liable for any use of the services made by third parties with credentials issued to the User. The User must immediately notify Alter5 in writing, at [email protected], of any event that allows or may allow misuse of their credentials, including theft, loss and similar circumstances. Until such notice is given, Alter5 is released from any liability arising from the improper, fraudulent or unauthorised use of those credentials.

Alter5 has adopted, and will continue to adopt, the technical and organisational measures required to protect the personal data collected and to prevent its alteration, loss, unauthorised processing or unauthorised access, having regard to the state of technology, the nature of the data stored and the risks to which it is exposed, in compliance with the regulations applicable in the European Union. The Alter5 Privacy Policy is available at www.alter5.com/en/privacy.

The Website is informational: it describes Alter5's activity and allows the User to contact Alter5 or to propose a transaction.

The lines of activity described on the Website include, without limitation:

• Corporate financing and working capital finance.
• Financing guaranteed by the European Investment Fund.
• Project finance.
• Debt issuance.
• Project and asset sales.
• Preliminary analysis of a company's debt capacity.

Alter5 also operates a platform (app.alter-5.com) through which the companies, lenders and investors it works with access ongoing transactions, their documentation and the related analyses. Access is granted at Alter5's invitation, on the terms described in the previous section.

Alter5 does not provide financial or investment advisory services. No content on the Website or the platform constitutes an offer of financing, a commitment by Alter5 or by any lender, or investment, tax or legal advice. The provision of any service requires a separate written agreement between the parties, in particular the distribution agreement signed with Alter5 for each transaction.

The contents of the Website may be edited, modified or removed at any time at Alter5's sole discretion. Materials may be out of date, and the User should not take decisions or act on the basis of information on the Website without confirming it with Alter5. Access to the information does not create any relationship, professional or otherwise, between Alter5 and the User. Such a relationship arises only on signature of the relevant distribution agreement or other written agreement between the parties.

The User may not use the Website for unlawful purposes, or in a manner that impedes, hinders or damages its normal operation or its contents, or that may harm the interests, property or rights of Alter5 or of other users. The User undertakes to use the Website in accordance with these Terms of Use, the Privacy Policy and the Cookies Policy, and to comply at all times with applicable law.

Alter5 reserves the right to withdraw or deny access to the Website, without prior notice, to any User who fails to comply with these Terms of Use or with any specific conditions that may apply.

In the event of a disruption to access, Alter5 will take the necessary steps to restore it, but does not guarantee that the Website will be free of errors or available at all times without interruption; access may be affected by maintenance and improvement work. Alter5 expressly disclaims all liability for errors or omissions in the information contained on the Website.

To the extent permitted by applicable law, Alter5 is not liable for any loss or damage suffered by Users as a result of accessing or using the Website, nor for damage to the User's computer equipment or to the files or data stored on it caused by viruses or any other form of malware, by misuse of the User's device or by access to the Website using unsuitable tools.

Alter5 has no control over the content of websites linked from the Website and therefore accepts no responsibility for any aspect of those websites, nor does it guarantee that such links are free of viruses or other elements that could damage the User's computer systems or files. Following a link or accessing a third-party website is at the User's own choice and risk.

Alter5 does not endorse or guarantee any information obtained through a link, and is not liable for any loss, claim or damage arising from the use or misuse of a link or of the information obtained through it, including further links or websites, from any interruption of service or access, or from any attempt to use or misuse a link, whether when accessing the Website or when accessing other websites from it.

Nor does Alter5 accept any responsibility for the content of third-party websites that link or refer to the Website, including any opinions about www.alter5.com that may mislead the users of those websites as to Alter5's services.

This Website is protected in its entirety by national, European and international legislation on copyright and intellectual property. The User acknowledges and accepts that all trademarks, trade names and distinctive signs, and all intellectual and industrial property rights over the contents and any other elements included on the Website, are the exclusive property of Alter5 or of third parties, who hold the exclusive right to use them. Access to the Website in no case implies any waiver, transfer, licence or assignment, in whole or in part, of those rights, unless expressly stated otherwise. These General Terms of Use govern the use of the Website. By accessing and browsing the Website, the User accepts that Alter5, as data controller, processes the personal data it obtains through the User's use of the Website or that the User provides, in accordance with the Privacy Policy (www.alter5.com/en/privacy), for the purpose of operating the Website and offering its products and services. Users are advised to read the Privacy Policy (www.alter5.com/en/privacy) and the Cookies Policy (www.alter5.com/en/cookies) carefully to understand which personal data is collected and processed, for what purposes, what rights they have as data subjects and how to exercise them.

Alter5 is bound by confidentiality obligations under these Terms of Use and in relation to the services it provides. Confidential information provided by the User, whether as a prospective lender or investor or as a company, within the access environment of the Website and the platform will be protected, kept secure and not disclosed, except where disclosure is required by law or where the information has become public or has been made public by the party that provided it.

If any clause of these Terms of Use is held to be wholly or partly void or unenforceable, this will affect only that clause or the part of it that is void or unenforceable. The Terms of Use will remain in force, and the provision concerned will be deemed severed to the extent that it is void or unenforceable.

Alter5 reserves the right to make such changes to the Website as it sees fit, and to update the information it contains and the conditions of configuration, presentation and access. Alter5 will give notice on the Website each time the Terms of Use are amended. The User must read and accept the new Terms of Use in order to continue using the Website. Users who do not accept these Terms of Use or any later version may not access or use the Website.

These Terms of Use are governed by Spanish law. Any dispute arising in connection with their application, performance or interpretation will be submitted, with the express agreement of both parties, to the courts of the city of Madrid.
