The process

Four stages, from preparation to closing

The sale mandate is executed in four stages.

    Preparation of the transaction

    Review of the asset's technical, administrative and financial documentation: stage, consents, grid connection, ownership and contracts.

  2. 2

    Identification of buyers

    Selection of strategic and financial buyers whose acquisition criteria match the asset: technology, stage, size and geography. The owner approves the list before any buyer is approached.

  3. 3

    Bilateral process

    Presentation by anonymised summary, followed by a non-disclosure agreement, data room access and receipt of offers.

  4. 4

    Closing

    Coordination of the parties and the flow of information through due diligence and contract negotiation to signing.

Buyer demand

To whom the transaction is presented

Strategic buyers — industrial operators and utilities — and financial buyers — infrastructure funds and asset managers — registered on the platform, each with its own acquisition criteria: technology, development stage, size and geography.

Those criteria determine to whom each transaction is presented. Registration as a buyer does not entail any commitment to acquire: participation in a given process depends on each institution's criteria.

Confidentiality and control of the process

Anonymised summary
The initial analysis is carried out on a confidential basis.
Non-disclosure agreement
The data room opens once a non-disclosure agreement is signed.
Bilateral process
Conversations are bilateral: there is no auction and no public timetable obliging the owner to close by a given date.
Owner's decision
The owner approves what is shared, with which counterparties and when, and the process may be halted at any stage before signing.

Submit an asset for sale

Alter5 acts on the owner's behalf in preparing and presenting the transaction, and does not acquire assets on its own account or act as counterparty.
